These terms govern the professional business and consulting services provided by PTT Group Pty Ltd.

PTT Group Pty Ltd · ABN 67 703 627 632 · Melbourne VIC
Effective date: 1 July 2024

1. Acceptance of Terms

By engaging PTT Group Pty Ltd (ABN 67 703 627 632) ("we", "us", "our"), accessing our website at https://pttgroup.online, or requesting services through our contact or quote pages, you agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use our website or engage our services.

2. Services

We provide professional business and consulting services, including but not limited to business strategy, operational improvement, financial and administrative consulting, and advisory support. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a written proposal, engagement letter, or statement of work agreed between you and us. Where a proposal or engagement letter conflicts with these terms, the proposal or engagement letter will prevail to the extent of the inconsistency for that engagement.

3. Quotes and Proposals

Quotations provided by us are valid for 30 days from the date of issue unless otherwise stated. All quotes are indicative and subject to confirmation of scope. We reserve the right to revise a quote or proposal if the scope of work changes, if information provided by you is incomplete or inaccurate, or if circumstances outside our control affect the engagement.

4. Fees, Invoicing and Payment

Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date. Late payments may attract interest at a rate of 2% per month on the outstanding balance, and we may suspend work on an engagement where payment is overdue. All fees are quoted in Australian dollars and are exclusive of GST unless stated otherwise. Expenses pre-approved by you and reasonably incurred in delivering the services will be itemised and charged in addition to our fees.

5. Your Obligations

You agree to:

  • provide timely, accurate, and complete information and documentation reasonably required for us to deliver the services;
  • respond to reasonable requests for input or review within agreed timeframes;
  • comply with all applicable laws in connection with the engagement; and
  • notify us promptly if any information provided becomes inaccurate or incomplete.

We are not liable for delays or deficiencies in the services caused by your failure to meet these obligations.

6. Australian Consumer Law

Nothing in these Terms of Service excludes, restricts, or modifies any rights or remedies you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth) or any other applicable legislation that cannot lawfully be excluded. Where the Australian Consumer Law applies to our services, our services come with guarantees that cannot be excluded, including guarantees as to due care and skill, fitness for purpose, and reasonable time for supply. Nothing in these terms limits your rights to a remedy under the Australian Consumer Law.

If you are a consumer for the purposes of the Australian Consumer Law, and our services are not supplied as part of a business, our liability for a failure to comply with a consumer guarantee is limited, where permitted, to supplying the services again or the cost of having the services supplied again.

7. Limitation of Liability

To the fullest extent permitted by law:

  • our total aggregate liability for any claim arising out of or in connection with the services is limited to the fees paid by you for the specific engagement giving rise to the claim;
  • we are not liable for indirect, special, incidental, or consequential loss, including loss of profit, revenue, business opportunities, or data, even if advised of the possibility of such loss; and
  • any reliance you place on our advice, reports, or recommendations is at your own discretion and risk, and professional advice should be sought in relation to your specific circumstances before acting on it.

8. Intellectual Property

All pre-existing intellectual property owned by us, including methodologies, templates, frameworks, and tools, remains our property. Upon full payment of our fees, we grant you a non-exclusive, non-transferable licence to use deliverables prepared for you for your internal business purposes. All intellectual property owned by you remains yours, and we will not use it other than to provide the services.

9. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use such information only for the purposes of the engagement. Confidentiality obligations do not apply to information that is publicly available, independently developed, required to be disclosed by law or a regulator, or disclosed with the other party's written consent.

10. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).

11. Third-Party Websites and Content

Our website and deliverables may reference or link to third-party websites or resources. We do not endorse, control, or accept responsibility for third-party content, products, or services, and any dealings you have with third parties are solely between you and them.

12. Website Terms of Use

The content on this website is provided for general information only and does not constitute professional advice for your specific situation. You must not reproduce, distribute, or exploit any part of this website without our prior written permission. Use of the website must be lawful and must not interfere with or damage the website or its operation.

13. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination, you must pay for all services performed and expenses incurred up to the termination date. Clauses concerning confidentiality, intellectual property, liability, and governing law survive termination.

14. Force Majeure

We are not liable for delays or failure to perform our obligations caused by events beyond our reasonable control, including natural disasters, pandemics, industrial disputes, government action, or failures of infrastructure or utilities.

15. Amendments

We may update these Terms of Service from time to time by publishing the revised version on this page. The version applicable to any engagement is the version in effect when the engagement commences, unless otherwise agreed in writing.

16. Governing Law

These Terms of Service are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of Victoria and the courts of appeal from them.
